Home Owner Association Board Of Directors

HOMEOWNER ASSOCIATION BOARD OF DIRECTORS POSITIONS

NOTE:
The following is the brief description of the duties of the main Board of Directors for OMV that we are voting on today. All other duties can be found in the By-Laws.

Duties of the Board of Director President
1 year term (Based on annual election
)

The President shall preside at all meeting of the Board of Directors; see that orders and resolutions of the Board are carried out; shall sign all leases, mortgages, deeds and other written instruments and shall co-sign all checks and promissory notes.

Duties of the Board of Director Vice President
1 year term (Based on annual election)

The Vice President shall act in the place and stead of the President in the event of his absence, inability or refusal to act, and shall exercise and discharge such other duties as may be required of him by the Board.

Duties of the Board of Director Secretary
1 year term (Based on annual election)

The Secretary shall record the votes and keep the minutes of all meetings and proceedings of the Board and the Members; keep the Corporation seal of the Corporation and affix it on all papers requiring said seal; serve notice of meetings of the Board and of the Members; keep appropriate current record showing the Members of the corporation together with their addresses, and shall perform such other duties as required by the Board.

Duties of the Board of Director Treasurer
1 year term (Based on annual election)

The Treasurer shall receive and deposit in appropriate bank accounts all the monies of the Corporation and shall disburse such funds as directed by resolution of the Board of Directors; shall sign all checks and promissory notes of the Corporation; keep proper books of accounts; cause an annual audit of the Corporation books to be made y a public accountant at the completion of each fiscal year; and shall prepare an annual budget and a statement of income and expenditures to be presented to the Membership at its annual meeting, and deliver a copy of each to the Members and shall send written notice f each assessment to every owner subject thereto at least thirty (30) days in advance of each assessment period.
